1. Acceptance of Terms

By accessing our website (https://iample.in), ordering website development packages, portal licenses, digital marketing services, custom programming, or software solutions, you acknowledge that you have read, understood, and agree to abide by these Terms and Conditions along with our Privacy Policy and Refund & Cancellation Policy.

2. Nature of Services

iAmple provides technical software engineering, web application development, turnkey industry portals (including Real Estate, Travel, Education, and E-Commerce), native mobile application engineering (Android and iOS), cloud maintenance, and multi-channel digital marketing services.

3. Monthly Subscription Packages

Standard packages (including ₹999 Business CMS, ₹1,499 Education Portal, ₹1,999 Real Estate Portal, ₹1,999 Travel Portal, ₹2,499 E-Commerce Website, ₹3,999 E-Commerce + Android App, and ₹5,999 Omni-Channel Suite) operate on a subscription model.

• Inclusions: Package subscriptions include the core software modules explicitly listed in each package's description, standard basic cloud hosting, one standard domain extension (.com, .in, .co.in, .org), 2 business email mailboxes, and routine security & technical maintenance.
• Active Subscription Requirement: Continued hosting, application accessibility, SSL certificates, bug fix support, and admin dashboard operations require an active, uninterrupted subscription payment.

4. Additional Charges & Out-of-Scope Requirements

To ensure transparency, the following items are strictly categorized as additional charges outside the base package fee:

1. Customization & Bespoke Modules: Any feature, workflow, design template modification, API integration, or functionality not enumerated in the standard plan is billed separately based on engineering hourly rates.
2. High-Scale & Dedicated Hosting: Basic hosting is provisioned for normal business traffic. Enterprise databases, high concurrency, video streaming, or dedicated AWS/Cloud instances will require a hosting upgrade.
3. Premium Domains: Premium, short-character, or non-standard TLDs are payable at actual registrar cost.
4. App Store Developer Fees: Google Play Console ($25 one-time registration) and Apple Developer Program ($99/year subscription) accounts must be owned and paid for directly by the customer.
5. Third-Party APIs: Paid services including WhatsApp Business API, SMS Gateways, Google Maps Platform billing, Flight/Hotel GDS inventory APIs, and logistics APIs are billed directly to the client by the respective third-party provider.
6. Payment Gateway Fees: Merchant transaction discount rates (TDR), processing fees, and settlement fees are deducted directly by payment gateways (Razorpay, Stripe, Cashfree, Paytm, etc.).

5. Digital Marketing Terms & Conditions

For clients subscribing to iAmple Growth Plans (₹4,999, ₹9,999, ₹19,999, ₹49,999, ₹99,999):

• Monthly Agency Retainer: The package price is iAmple's service fee for creative ideation, graphic design, copywriting, video editing, technical SEO, campaign structuring, and reporting.
• No Guaranteed Outcomes: Digital marketing outcomes depend on market variables, brand perception, competitor actions, pricing, and the client's internal sales follow-up velocity. iAmple provides expert strategy and continuous optimization but cannot guarantee exact sales figures, specific revenue, exact lead volume, or fixed #1 Google search ranking positions.
• Search Engine Algorithm Changes: Search engines (Google, Bing) independently update ranking algorithms. iAmple employs compliant white-hat SEO practices; rankings may fluctuate based on global algorithm iterations.
• Deliverable Caps: Social posts, reels, blog articles, and keyword targets are capped at the specific monthly counts contracted in your tier. Unused monthly allocations do not roll over to subsequent months.

The Client agrees to:

• Provide accurate business information, text copy, high-resolution logos, brand assets, property listings, and product inventory details in a timely manner.
• Review and provide feedback or approvals on marketing creatives and staging builds within 48 hours to maintain scheduled publishing and deployment timelines.
• Ensure all claims, trademarks, promotional offers, and business licenses supplied to iAmple comply with applicable local and international consumer protection laws.

8. Intellectual Property & Account Ownership

• Customer Ownership: The Client retains 100% full ownership of their brand identity, trademarks, customer data, domain names, and ad platform accounts.
• Custom Assets: Final approved creatives and copy tailored exclusively for the Client belong to the Client upon full settlement of associated fees.
• Proprietary Frameworks: Underlying software engines, base frameworks, CMS modules, CMS libraries, proprietary scripts, and reusable code architectures remain the intellectual property of iAmple Solutions.

9. Payments, Billing Cycles & Invoicing

9.1 Website & Digital Platform Packages

• Initial Setup & Onboarding: 1 Quarter + 1 Quarter (3 Months) Advance Payment is required to initiate the project/service.
• Ongoing Billing: After the initial payment period, the customer must pay 1 Quarter (3 Months) in advance for continued service.
• Standard Billing Cycle: The standard ongoing billing cycle is quarterly in advance.
• Monthly Options: Monthly payment options may be available only with prior written approval from iAmple.
• Third-Party Expenses: Domain registration, premium services, third-party APIs, payment gateway services, app-store charges, and other applicable third-party expenses require 100% advance payment.
• Customization: Any customization or development outside the selected package will be charged separately and may require advance payment.

9.2 Digital Marketing Packages

• Initiation: 1 Month Advance Payment is required to initiate the digital marketing service.
• Ongoing Retainer: Thereafter, digital marketing services will be billed monthly in advance, unless a different billing cycle is agreed in writing.
• Advertising Budget: The advertising budget is separate from the digital marketing service fee and must be paid/funded into the respective advertising platform before campaigns are launched.
• Payment Default / Pausing: Services may be paused if the applicable payment is not received by the due date.
• Accrued Expenses: Work already completed, approved expenses, advertising spend, and third-party charges remain payable even if the customer subsequently cancels the service.
• Out-of-Scope Services: Additional services outside the selected package will be charged separately.

10. Cancellation & Termination

Clients may cancel monthly subscriptions or marketing retainers by providing a 15-day written notice via email to info@iample.in before the next billing cycle. Outstanding dues or third-party liabilities accrued prior to cancellation remain payable. For full details, please refer to our Refund & Cancellation Policy.

11. Limitation of Liability

In no event shall iAmple Solutions, its directors, employees, or partners be liable for any indirect, incidental, punitive, consequential, or special damages (including loss of business profits, data corruption, downtime caused by third-party cloud outages, or platform account suspensions by Meta/Google) arising out of or in connection with the services provided. iAmple's aggregate liability under all circumstances shall not exceed the total service fee received from the Client in the one (1) month immediately preceding the incident.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute, claim, or controversy arising out of or relating to these terms or services provided by iAmple shall be subject to the exclusive jurisdiction of the competent courts in India.
